Terms and conditions
In effect from October 21, 2026. These terms are written in English; any translation is provided for convenience.
These are the terms every Cubilani project runs on. Your proposal sets out the scope, the price and the dates for your project, and it forms part of these terms. If anything here isn’t clear, ask me before you go ahead, on the free 30-minute call or by email. How your data is handled is in the privacy policy.
1. Services
I provide:
- Website projects (a launch page, a focused site of up to five pages, a complete site of up to ten pages, or a larger build quoted on request): strategy, copywriting, design and development, on WordPress or as a code-built site, as the proposal says.
- Search and AI Visibility: research into the searches and questions your clients use, on-page optimization, structured data and measurement, to improve your site’s chances of being found and recommended on Google and in AI answers. Results are never guaranteed (see section 11).
- Brand projects: a brand identity, a rebrand, logo design or redesign, brand guidelines and brand assets, each quoted per project, on its own or combined with a website project.
- Additional services: a care plan, a Search and AI Visibility content plan and quarterly reviews, newsletter setup and sending, moving large sites, additional pages and features, and a business context pack.
The scope, deliverables, price and timeline of each project are set out in a written proposal, which forms part of these Terms.
2. Proposals
- Each proposal is valid for 30 days unless it says otherwise.
- The proposal sets the agreed scope, price and timeline.
- Any change to the scope is quoted in writing before the work is done.
- Unless the proposal says otherwise, the site launches within two months of the deposit, provided the intake and materials arrive on time.
- For a brand project on its own, the proposal sets the dates.
3. Payment
- A 50% deposit starts the project. Paying the deposit means you accept these Terms.
- The balance is due when you approve the site, before it goes live. For a brand project on its own, it is due when you approve the final files, before they are delivered.
- Payments are made in USD, CAD or CLP, as set out in the proposal.
- I invoice from Chile (boleta de honorarios). A copy and proof of payment are available on request. US clients can receive a W-8BEN on request.
How to pay
- Bank transfer through Wise (preferred): you receive local bank details in USD (United States) or CAD (Canada), so it works like paying a local supplier.
- Card: through a Payoneer payment link, or PayPal if you prefer.
- International wire transfer in USD.
- For clients in Chile: a domestic bank transfer.
Fees
- The invoiced amount needs to arrive in full. If you choose a method with fees above 2%, the difference is added to the invoice or covered by you when paying. PayPal, some card payments and international wires can cost around 10%.
- I am not responsible for amounts lost to intermediary banks or exchange rates.
Late payment
- Late payments may accrue interest of 2% a month, or the maximum the law allows.
4. Ownership
- Your domain and hosting are registered in your name from the start, and you pay those providers directly. The site and every account I set up for you become yours once the full amount is paid. The deposit covers the work done and does not transfer ownership of any part of the project.
- I may show the finished work in my portfolio. Before publishing a case study with your name, your results or your words, I will ask for your written consent.
5. Getting started and materials
- After the deposit, you complete a guided intake form (about 15 minutes) within **10 business days**, and we have one kickoff call. Any question can be answered “decide for me”.
- Materials (your own texts, photos, logos, and access to your domain, hosting and analytics) are due within 15 business days of the call.
- If something doesn’t arrive in time, I make the decision and record it for your review, so the project keeps moving.
- You are responsible for making sure the materials you send respect copyright and intellectual property.
6. Revisions
- Each project includes two rounds of revisions.
- Further revisions, and any work outside the scope, are billed at USD 85 / CA$115 an hour, or at a fixed price agreed in advance.
7. Paused projects
- If I don’t hear from you for 30 days, I send a written notice.
- After 60 days without a reply, the project is paused. You can restart it at no extra cost within the next six months, at the next available date. After six months, the project is quoted again.
- The deposit covers the work done up to the pause.
8. After launch
- For 30 days after launch, I fix anything that doesn’t work as agreed, at no cost.
- After that, ongoing care is available as a care plan, at a fixed price quoted in advance, or by the hour.
- I include a session and a guide so you can update your site. If you or a third party change the design, structure, plugins or code, it is at your own risk, and any repair is quoted separately.
9. Not included
Unless the proposal says otherwise, these are not included: hosting, domain registration, paid plugins or fonts, stock images, or photography and video. A new logo or a full brand identity is a separate brand project (see section 1), unless the proposal includes it. I can recommend providers; buying and maintaining those services is your responsibility. On a WordPress site, some components depend on third-party themes or plugins that receive updates; I am not responsible for problems caused by those updates.
10. Custom features
Projects with complex features can reveal requirements nobody saw at the start. We define the scope in as much detail as possible; any new feature is quoted and approved separately before it is built, and I will tell you about any extra cost in advance.
11. Search and AI Visibility
- The work is based on research, best practice and measurement. The setup done during a website project is the first step; the best results come from useful content on a steady rhythm and a review every quarter.
- **I do not guarantee search rankings, mentions or citations in AI assistants, traffic, conversions or sales.** Results depend on factors outside my control (competitors, algorithms, platform policies, your market).
- I report measured results only.
- The care plan runs month by month and is cancelled with 30 days’ notice; monthly payments are non-refundable. Quarterly reviews, including that quarter’s newsletter sends, are quoted and paid one quarter at a time, and you can stop after any quarter.
12. Brand projects, brand guidelines and brand names
- Once the full amount is paid, the logo, the brand guidelines and the final approved brand files become yours, the same as the site (see section 4). The deposit does not transfer ownership of any part of them. Editable source files can be delivered for an additional cost if they are not included.
- Choosing a brand name and checking that it is legally available is your responsibility. I can run preliminary searches if they are in scope; they do not replace a legal search. If a name has to change after delivery, the redesign is quoted separately.
13. Confidentiality
Both parties keep sensitive information shared during the project confidential, including after it ends.
14. Ending a project
- Either party can end the project with 14 days’ written notice.
- Work done up to that date is invoiced and paid. The deposit is non-refundable unless agreed otherwise in writing.
15. Limitation of liability
I am not liable for indirect, incidental or consequential damages. My total liability is limited to the amount paid for the service that gave rise to the claim.
16. Governing law and disputes
These Terms are governed by the laws of Chile. If a dispute arises, we will first try to resolve it in good faith and then through mediation, before going to the competent courts of Chile.
17. Force majeure
Neither party is responsible for delays caused by events outside its reasonable control; timelines are extended accordingly.
18. Privacy
I process personal information only as needed to provide my services and in line with applicable laws, including Canada’s PIPEDA and, for clients in Quebec, Law 25. I don’t share your information with third parties except to provide the services or meet legal obligations. More in the Privacy Policy: [cubilani.com/privacy].
19. Changes to these Terms
These Terms may be updated. Projects in progress follow the version in effect when the deposit was paid.
20. Language
These Terms are written in English. Any translation is provided for convenience; if they differ, the English version prevails.
